• Description : This Agreement is a binding agreement between the Sponsor and PAREXEL. It is void if either party breaches its obligation to perform under this Agreement.

Overview

• For example, if the Sponsor requests that PAREXEL use a specific Vendor, then PAREXEL will contract directly with the provider.
  
  In these cases, PAREXEL will not be liable for the selection, instruction, performance, or any fraud committed by the Vendor. PAREXEL may use CRO's affiliates to perform its obligations. For example, PAREXEL may act as an agent or legal representative for the Sponsor in certain countries.
  
  These affiliates will be subject to separate service agreements. Additionally, the parties will negotiate additional terms for clinical pharmacology studies. Parexel is one of the largest CRO's in the world. It provides comprehensive CRO's services and specializes in biopharmaceutical trials for pharmaceutical and biotechnology clients.
  
  With 84 facilities in 54 countries, PAREXEL provides services across the development continuum. Its services include clinical trials, observation studies, pharmacovigilance, and commercialization.
  
  
  The Sponsor must provide PAREXEL with adequate funds in advance for any additional services. The two parties must also work out a budget and timeline. In the event of any third party claim, PAREXEL will defend and indemnify the Sponsor against any liability.
